1. Introduction
By accessing or working with NITECRA SOLUTIONS LTD (“NITECRA”, “we”, “our”, or “us”), you (“Client”, “you”, or “your”) agree to these Terms & Conditions. These govern all services, transactions, and interactions with our agency.
2. Services Offered
We provide digital services including, but not limited to:
- Branding & logo design
- Social media content & strategy
- Website and landing page design & Development
- AI-generated content & automation
- Domain & hosting
- Brand consultation
All services are defined and confirmed per project through email, invoice, or proposal before commencement.
3. Booking & Payments
- Payment Structure: A 50% deposit is required to begin all projects. Balance is due before delivery.
- Late Payments: Invoices not cleared within 7 days after due date may attract a 5% weekly penalty.
- Non-Refundable: Deposits are non-refundable. Refunds are only possible in cases of project cancellation before work begins.
- Currency: All prices are listed in KES unless otherwise stated.
4. Project Delivery
- Timeline: Project timelines begin only after deposit and submission of all required materials.
- Delays: Failure to provide feedback or materials within 14 days may result in a project freeze or cancellation.
- Files: Final files are delivered in standard formats (e.g. PNG, PDF, MP4). Editable files (e.g., PSD, AI) are available on request at an extra fee.
5. Revisions Policy
- Includes up to 2 free revision rounds per project.
- Additional changes or new requests after scope confirmation are charged separately.
- All revision requests must be submitted within 7 days of delivery.
6. Intellectual Property & Usage
- Ownership of final deliverables transfers to the client after full payment.
- We retain rights to showcase work in our portfolio, unless a signed NDA prohibits this.
- Raw design files and AI prompt data remain the property of NITECRA unless otherwise agreed.
7. Use of AI & Third-Party Tools
- Some services include content generated using AI platforms (e.g., ChatGPT, Midjourney, etc.).
- While high quality is ensured, we do not guarantee exclusivity or copyright ownership of AI-generated outputs.
- We are not liable for results or errors from third-party tools or platforms.
8. Cancellations & Terminations
- Client-initiated cancellations: Any work completed is billable. Deposits are non-refundable.
- Agency-initiated cancellations: We reserve the right to terminate projects due to breach of terms, abuse, or non-cooperation.
- If cancelled due to your inaction for 21 days, the project will be closed without a refund.
9. Client Responsibilities
Clients are expected to:
- Provide timely feedback, clear instructions, and content (e.g., logos, text).
- Confirm they own rights to all materials submitted.
- Review and approve deliverables promptly.
10. Marketing & Portfolio Rights
- We reserve the right to showcase completed work in our portfolio, social media, and marketing material.
- Reference projects in case studies or client lists.
- You may request an NDA before project start to restrict this.
11. Liability & Disclaimers
- We are not liable for any loss of business, revenue, or damages resulting from the use of our services.
- You are solely responsible for how deliverables are used after handover.
- We do not guarantee performance metrics (e.g., sales, engagement) unless contractually agreed.
12. Hosting & Domain Services
- Uptime, speed, and access are subject to third-party infrastructure reliability.
- We are not responsible for losses due to downtime, domain expiry, or third-party system issues.
- All hosting services are pre-paid and non-refundable unless stated otherwise.
13. Confidentiality
- Any proprietary or sensitive information shared by the client will remain confidential.
- Our systems, templates, and processes are confidential and must not be copied or distributed.
14. Governing Law
These terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be resolved under Kenyan jurisdiction.
15. Changes to These Terms
We reserve the right to update these Terms & Conditions at any time. The latest version will always be available on https://www.nitecra.com/terms.
